Terms & Conditions

Please read these Terms carefully. By using WAAPI, you agree to be bound by them.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you (“Customer”, “you”) and WAAPI (“we”, “us”). By registering for, accessing, or using our platform, APIs, dashboard, mobile app, or any related services (the “Services”), you accept these Terms in full. If you do not agree, do not use the Services.

2. Eligibility & Account

  • You must be at least 18 years old and legally able to enter into contracts.
  • You must provide accurate, current, and complete information during registration and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You may not share, resell, or sublicense your account credentials without our written permission.

3. Description of Services

WAAPI provides a multi-tenant SaaS platform that allows businesses to send and receive messages on the WhatsApp Business API, manage campaigns, build chatbots, and engage customers. The Services are provided on a subscription basis under the plan you select. Specific features, quotas, and limits are defined on the Pricing page and in your active subscription.

You are solely responsible for ensuring that your messages, content, and business activities comply with these policies. Violations may result in suspension of your WhatsApp Business Account by Meta and suspension or termination of your WAAPI account.

5. Acceptable Use

You agree not to:

  • Send spam, unsolicited bulk messages, or messages to users who have not opted in;
  • Transmit unlawful, defamatory, obscene, fraudulent, or infringing content;
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity;
  • Attempt to reverse-engineer, decompile, or scrape the Services;
  • Use the Services to develop a competing product;
  • Interfere with or disrupt the Services or servers or networks connected to the Services;
  • Upload viruses, malware, or any malicious code;
  • Exceed your plan’s quota via automated circumvention.

6. Subscription, Billing & Renewal

  • Subscriptions renew automatically at the end of each billing period until cancelled. Details are specified in our Payment Policy.
  • We reserve the right to change prices. Any price change will be notified at least 30 days in advance and will apply from your next renewal cycle.
  • Message-delivery costs charged by Meta are separate from your subscription and are billed according to your plan.

7. Suspension & Termination

We may suspend or terminate your account at any time, with or without notice, if:

  • You breach these Terms or any linked policy;
  • Your WhatsApp Business Account is suspended by Meta;
  • Payments are not received by the due date;
  • Your use poses a security or legal risk;
  • We are required to do so by law.

You may cancel your subscription at any time from your dashboard. Upon termination, your access ceases at the end of the current billing period. Data retention follows our Privacy Policy.

8. Intellectual Property

All rights, title, and interest in the Services, including software, design, trademarks, and documentation, are owned by WAAPI and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during your subscription. You retain all rights to the content and data you upload.

9. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or meet every requirement of your business.

10. Limitation of Liability

To the maximum extent permitted by law, WAAPI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business, arising out of or in connection with the Services. Our aggregate liability shall not exceed the amount paid by you to WAAPI in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless WAAPI, its affiliates, officers, employees, and partners from any claim, demand, loss, or liability arising out of (a) your use of the Services, (b) your content or messages sent via the Services, or (c) your violation of these Terms, any linked policy, or applicable law.

12. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute shall be submitted to the exclusive jurisdiction of the courts located in Kolkata, West Bengal.

13. Changes to Terms

We may amend these Terms from time to time. Material changes will be notified at least 14 days in advance. Continued use after the effective date constitutes your acceptance of the revised Terms.
